1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," "User," or "Customer") and WebWright LLC, a Delaware limited liability company owned by RevivifAI Inc. ("WebWright," "we," "us," or "our"), governing your access to and use of the WebWright API platform and related services (the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

"API"
Means the application programming interface provided by WebWright that allows you to integrate AI capabilities into your applications, including all endpoints, documentation, and related materials.
"API Key"
Means the unique authentication credential issued to you by WebWright that allows you to access the API.
"Content"
Means any text, data, information, code, or other materials that you submit to the Service ("Input") and any output generated by the Service in response ("Output").
"Input"
Means any text, data, prompts, or other materials you submit to the Service for processing.
"Output"
Means any text, data, or other materials generated by the Service in response to your Input.
"Pay-As-You-Go (PAYG)"
Means the pricing model where you are charged based on actual token usage rather than a fixed subscription fee.
"Subscription Plan"
Means a fixed-fee pricing tier that includes a monthly allocation of tokens and associated features.
"Token"
Means the unit of measurement for API usage, where approximately 1,000 tokens equals 750 words in English. Both Input and Output consume tokens.
"Cache Hit"
Means when the Service reuses previously processed Input tokens, resulting in reduced pricing for those tokens.
"Service"
Means the WebWright API platform, including all features, functionality, documentation, and related services provided by WebWright.

3. Eligibility and Account Registration

3.1 Age and Capacity Requirements

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet these requirements and have the legal capacity to enter into a binding agreement.

3.2 Account Registration

To access the Service, you must:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials and API Key
  • Promptly notify us of any unauthorized use or security breach
  • Accept responsibility for all activities that occur under your account

3.3 API Key Security

Your API Key is confidential and must not be shared, published, or exposed in public repositories. You are solely responsible for all usage of your API Key. If you believe your API Key has been compromised, you must immediately regenerate it through your account dashboard and contact our support team.

3.4 Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, exhibit suspicious activity, or remain inactive for an extended period.

4. Subscription Plans and Pricing

4.1 Pay-As-You-Go (PAYG) Plans

WebWright offers the following pay-as-you-go pricing tiers:

PAYG pricing is subject to change with 30 days' notice. You will be charged based on actual token consumption, billed at the end of each billing cycle.

4.2 Subscription Plans

WebWright offers the following subscription plans:

4.3 Overage Charges

If you exceed your subscription plan's token limits, you will be charged overage rates based on your PAYG tier. Overage rates are calculated at the applicable PAYG rate for your tier.

4.4 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately, and you will be charged the prorated difference. Downgrades take effect at the start of your next billing cycle.

4.5 Price Changes

We may modify our pricing with 30 days' advance notice. Price changes will not affect your current billing cycle. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

5. API Usage and Rate Limits

5.1 Fair Use Policy

The Service is provided subject to a fair use policy. You agree not to abuse, overload, or otherwise strain the Service infrastructure. We may impose rate limits, throttling, or usage caps to ensure service quality for all users.

5.2 Rate Limits

Rate limits vary by plan tier and are subject to change. Current rate limits are documented in our API documentation. If you require higher rate limits, please contact our sales team to discuss enterprise options.

5.3 API Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. We are not liable for any downtime, service interruptions, or data loss.

5.4 Usage Monitoring

We monitor API usage for quality assurance, security, and compliance purposes. We may log error information to improve our services. We do not record or store the content of your API requests or responses for training purposes.

6. Intellectual Property

6.1 Ownership of Input

You retain all right, title, and interest in and to your Input. By submitting Input to the Service, you grant WebWright a limited, non-exclusive license to process your Input solely for the purpose of providing the Service to you.

6.2 Ownership of Output

Subject to your compliance with these Terms, you own the Output generated by the Service in response to your Input. You are responsible for the content of your Output and how you use it.

6.3 WebWright Platform IP

WebWright and its licensors own all right, title, and interest in and to the Service, including all software, algorithms, models, documentation, trademarks, and other intellectual property. No license is granted to you except as expressly set forth in these Terms.

6.4 Restrictions

You may not:

  • Use the Service to develop competing AI models or services
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Remove or alter any proprietary notices
  • Sublicense, resell, or distribute access to the Service without our prior written consent

7. AI Disclaimers and Limitations

7.1 No Accuracy Guarantee

The Service uses artificial intelligence to generate Output. AI-generated content may contain errors, inaccuracies, or "hallucinations" (plausible-sounding but incorrect information). We do not guarantee the accuracy, completeness, or reliability of any Output.

7.2 Not Professional Advice

The Service does not provide legal, medical, financial, or other professional advice. Output should not be relied upon as a substitute for consultation with qualified professionals. You are solely responsible for verifying any information before acting on it.

7.3 Content Responsibility

You are solely responsible for reviewing, verifying, and determining how to use any Output generated by the Service. You assume all risks associated with your use of the Output.

7.4 No Training on Your Data

We do not use your Input or Output to train our AI models. Your data is processed solely to provide the Service to you. We may log error information for debugging and service improvement, but we do not record or store the content of your API requests or responses for training purposes.

8. Prohibited Uses

You agree not to use the Service to:

  • Generate illegal content or content that violates applicable laws
  • Create harmful, abusive, harassing, or defamatory content
  • Generate content that infringes on intellectual property rights
  • Produce malware, exploits, or other malicious code
  • Attempt to circumvent security measures or rate limits
  • Scrape, extract, or collect data from the Service without authorization
  • Create deepfakes or misleading content without proper disclosure
  • Generate content for surveillance or unauthorized data collection
  • Provide medical, legal, or financial advice without appropriate qualifications
  • Develop competing AI models or services using the Service
  • Violate any applicable local, state, national, or international law

We reserve the right to suspend or terminate accounts that engage in prohibited uses, with or without notice.

9. Payment Terms

9.1 Payment Processing

All payments are processed through Finix, our third-party payment processor. By using the Service, you agree to Finix's terms of service and privacy policy. Finix collects and processes your payment information in accordance with their policies.

9.2 Billing Cycle

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. PAYG charges are billed at the end of each billing cycle based on actual usage.

9.3 Taxes

Prices do not include applicable taxes. You are responsible for all taxes associated with your use of the Service. We will collect and remit taxes where required by law.

9.4 Refund Policy

All fees are non-refundable except as required by law. We do not offer refunds for unused tokens, partial billing periods, or subscription fees. If you believe you have been charged in error, please contact our support team within 30 days of the charge.

9.5 Chargebacks

If you initiate a chargeback with your payment provider, we may suspend your account pending resolution. We reserve the right to pursue collection for valid charges.

10. Cancellation and Termination

10.1 Cancellation by You

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of your paid period.

10.2 Termination by Us

We may suspend or terminate your account for any reason, including:

  • Violation of these Terms
  • Abuse of the Service or our infrastructure
  • Fraudulent or suspicious activity
  • Non-payment of fees
  • Extended inactivity

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account data and API Keys. Provisions that by their nature should survive termination will remain in effect.

10.4 Data Deletion

You may request deletion of your account data by contacting our support team. We will process such requests in accordance with applicable law, including CCPA requirements for California residents.

11. Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Results

We do not guarantee that the Service will meet your requirements, be available at all times, or produce any specific results. We are not responsible for any decisions you make based on Output from the Service.

11.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WEBWRIGHT, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.4 Liability Cap

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the greater of: (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) $100 USD.

11.5 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless WebWright, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Content you generate using the Service
  • Your violation of applicable laws or regulations

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from or related to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in Delaware. Each party shall bear its own costs and attorneys' fees.

13.3 Class Action Waiver

You agree not to participate in class actions, class arbitrations, or representative actions against WebWright. You waive the right to a jury trial.

13.4 Opt-Out Right

You may opt out of arbitration by sending written notice to our legal department within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in state or federal court in Delaware.

14. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email to your registered email address or through the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms.

We encourage you to review these Terms periodically. The "Last Updated" date at the top of this document indicates when the most recent changes were made.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WebWright regarding the Service and supersede any prior agreements.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or successor entity.

15.5 Force Majeure

We shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of government, network failures, or other similar events.
